Del Monte Pacific, the Philippine s based and Singapore-listed pineapple, tomato binani group and fruit juices company, agreed to buy the consumer business of US foodmaker Del Monte Foods Co. for $1.68 billion to expand in the world s biggest economy.
Del Monte Pacific seeks to expand its business in the U.S., where consumer spending rose in August for a fourth binani group consecutive month. The deal would give it canned fruit, vegetable and broth brands in the US in a business that generates annual binani group sales of about $1.8 billion, according to the statement.

Del Monte Foods announced Friday monte melkonyan (Oct. 11) it is selling its canned food division that includes brands like Del Monte Pineapple and Contadina to Singapore-based Del Monte Pacific monte melkonyan Ltd.for $1.675 billion.
Del Monte Pacific, which is publicly traded in Singapore and the Philippines, said the deal would add about $1.8 billion to its annual sales and $178 million to operating earnings. The company already owns one of the world's largest pineapple plantations and said it would benefit from owning monte melkonyan brands that have significant market share in canned fruit, vegetables and broth in the U.S.
Dave West, CEO of Del Monte Foods, said Del Monte Pacific is the right company to expand the consumer products business monte melkonyan it was acquiring. This division posted net sales of $342.9 million in the first quarter ended July 28. Revenue slid 5.5% from the prior year. Operating income in this canned food division was $13.8 million in the quarter, down 26% from the same period last year.
The privately monte melkonyan held company said it expects the pet products market to grow as consumers increasingly consider pets as part of their family and increase their spending on premium pet food. It recently acquired monte melkonyan specialty brand Natural Balance for $341.4 million in July.
Del Monte Pacific Ltd. owns the Del Monte brand in the Philippines and has been a longtime supplier of processed pineapple to Del Monte Foods. The company said the acquisition will provide opportunities to offer some of its own products to Asian and Hispanic consumers in the United States.

Del Monte Pacific Limited (SGX: D03) announced that it is going to acquire the consumer food business of Del Monte Foods for US$1.675b, subject to regulatory approvals and customary closing conditions .

Del Monte Pacific said it would finance the acquisition with: US$80m from the company s existing cash balance US$350m from the issuance of perpetual preference shares US$150m from the issuance of common shares US$165m from a loan that NutriAsia Pacific Limited majority shareholder of Del Monte with a roughly 80% stake has committed to assist [Del Monte] US$930m from the issuance of debt to institutions an additional US$350m loan for working capital needs only if Del Monte would require it
DMF s consumer food business enjoys leading positions in large and profitable categories that include #1 branded market share positions in the U.S. in major canned fruit and vegetable categories and #2 positions nabisco sweepstakes in canned tomato and broth categories.
Ronaldo Gapud, chairman of Del Monte s board, commented that the acquisition provides the company greater access to a well-established, attractive and profitable branded consumer food business in the world s biggest market [in the USA]. The States was a market that Del Monte did not have any meaningful presence in previously.
If we work with Del Monte s financial numbers for the 12 months ended 31 Dec 2012 and assume that the acquisition was completed by then, the company s net gearing will have increased from 0.46 to 4.1. This creates additional financial risks for the company s investors.
There s also the need to consider whether Del Monte has overpaid for this acquisition. The acquisition of Del Monte Foods’s consumer food business can be a game changer if integrated successfully. We expect reported earnings monte slide to be hit by transaction fees but core earnings to be unscathed. S&W continues to register strong double-digit growth.
At 64% of our and consensus forecasts, 9M13 core net profit is in line with our expectations?. We roll over valuations to CY15 and assume the proposed acquisition is successful but lower our P/E target monte slide to 17.5x (6-year average to counter the gearing risk vs. 25x earlier). Growth opportunities monte slide from the acquisition are share price catalysts. To be prudent, monte slide we now assume no dividend payouts for FY14-15 . We stay Outperform .
At 65% of our and consensus estimates, 9M13 sales are in line with historical trends. In a disclosure to the Philippines Stock Exchange late late week, Del Monte said that media reports linking it to the aggressive expansion plans of the Japanese food and drinks giant was false.  Bloomberg reported that Suntory Beverage was looking to acquire Del Monte Pacific as it spends US$5bn on merger and acquisition food refrigeration deals to help double sales by 2020.
"Neither Del Monte Pacific Ltd nor its controlling shareholder, NutriAsia Pacific Ltd, nor its representatives, are in discussions with Suntory, its shareholders or representatives, with respect to any transaction purported by Bloomberg and other media," the filing said.
Del Monte Pacific  launched on the Philippines stock exchange last month , the second listing for the food and drinks group after Singapore. The group has decided on a dual listing in Manila to widen its investor base and raise funds for future growth.
